The BRIEF
ETL, a leading transportation logistics provider of international goods to the Southwest U.S., was experiencing rapid and sustained growth. In early 2019, the CEO who founded and led the company’s fast rise was motivated to move on to the next chapter in life. Through CriticalPoint’s efforts, the company entertained two potential transactions in 2019 and 2021, but neither were consummated due to an uncomfortable structure in the case of one and an uncommitted buyer in the case of the other. Undiscouraged and committed to finding a satisfactory solution, CriticalPoint pressed ahead assuring the CEO and the company’s shareholders that a sale was still possible. As the search for a new buyer proceeded, ETL continued its strong growth in revenue and profitability
The APPROACH
Leveraging its deep and diverse network and collaborating with the firm’s in-house research team, CriticalPoint identified a wide, yet actionable swath of potential investors. To increase the odds of success, CriticalPoint encouraged the management team to consider rolling some of their sale proceeds into any potential new partnership. With optimism lingering following two sidelined deals, the CEO and shareholders were pleasantly surprised with CriticalPoint’s dogged pursuit of a buyer that would foster further expansion of the company’s footprint
The RESULT
Ultimately, CriticalPoint identified a buyer with deep industry experience and negotiated a mutually beneficial transaction structure. By the time the deal closed, the company’s value had more than doubled from the initial deal and increased more than 20% over the second potential deal. Further, the third time proved to be the charm for the shareholders as they were able to not only retain a significant amount of equity and meaningful ownership of the new company, but also pocket more upfront cash than originally anticipated. In an optimal outcome, the buyer proved to be the right fit and provided the CEO with a definitive exit path
